ANNOUNCEMENT

Guinness Peat Group plc ("GPG") announces the change in directors' interests
following the issue of ordinary shares of 5p each of GPG ("Shares") pursuant
to the 2010 Scrip Dividend Alternative on 14 May 2010 as follows:
