Change of Directors' Interests
Guinness Peat Group ("GPG") announces the following changes in Directors'
interests following the allotment of shares on 4 June 2010 pursuant to the
2010 Capitalisation Issue:
1. Interests in the ordinary shares of Guinness Peat Group plc

*As a result, Sir Ron Brierley's interests represent 3.16% of GPG's
total shares in issue and consequent voting rights.
2. Interests in options over the ordinary shares of GPG under the
Company's share option schemes
As a result of the 2010 Capitalisation Issue, under which a bonus
issue of new shares was made at the rate of 1 new share for every 10 shares
held, options held under the Company's share option schemes have also been
adjusted. As a consequence Directors' interests in the Company's share
options are now as follows:
